Terms of Service

1. Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of the Agent eFile website, software, filing-validation tools, AI-assisted features, and related services (collectively, the "Service"). The Service is provided by Agent eFile, LLC, a Texas limited liability company ("Agent eFile," "we," "us," or "our").
By creating an account, starting a trial, purchasing a subscription, selecting an optional service, clicking to accept these Terms, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you use the Service for a law firm or other organization, you represent that you have authority to accept these Terms on its behalf. In that case, "you" and "your" include that organization.
If you do not agree to these Terms, do not use the Service.
2. Description of the Service
Agent eFile provides technology-assisted tools intended to help attorneys, law firms, and authorized legal support personnel validate and prepare electronic court filings. Initial coverage is limited to supported Texas court-filing workflows. Coverage may vary by court, county, case type, filing type, and electronic filing service provider ("EFSP").
The documents, case information, instructions, and other materials you provide are "Customer Materials." Information generated or prepared by the Service from Customer Materials, including validation findings, extracted information, suggested selections, and prepared filing data, are "Outputs."
Depending on the features selected, the Service may:
- review Customer Materials for completeness and common filing issues;
- identify missing, inconsistent, or potentially incorrect information;
- extract information and suggest filing types, codes, or selections;
- populate or prepare filing information within your authenticated EFSP session; and
- prepare a filing for your review, approval, and final submission.
Agent eFile does not execute the final Submit action. The Service is designed to pause before submission so that you can review and approve the filing. Features, supported courts, document types, and third-party platforms may change. Agent eFile does not guarantee support for every Texas court or filing.
3. Eligibility and Authority
You must be at least 18 years old, legally capable of entering into a binding agreement, and an attorney, law firm representative, or authorized legal support professional acting under appropriate supervision. The Service is not offered to self-represented litigants unless Agent eFile expressly agrees otherwise in writing.
You may use the Service only for filings you are authorized to prepare, review, or submit. You represent that you have all authority and permissions necessary to provide Customer Materials and direct their processing.
You are responsible for confirming that your use of the Service complies with applicable laws, professional obligations, court rules, client instructions, protective orders, confidentiality duties, and your firm's policies.
4. Accounts, EFSP Access, and Security
You agree to provide accurate account information and keep it current. You are responsible for all activity under your account and for safeguarding your sign-in method, devices, email account, and authenticated court-filing sessions.
You authenticate directly with your selected EFSP or court-filing system. Agent eFile is not designed to store your EFSP or court-filing password. You may not provide credentials to anyone who is not authorized to access the applicable account or matter.
You must promptly notify Agent eFile at support@agentefile.com if you suspect unauthorized access, account compromise, or misuse. You may not share an individual account in a way that bypasses subscription, authorization, or security controls.
5. Free Trial, Subscription, and Fees
Free trial
Eligible new customers may receive a 30-day trial of unlimited filing validation. The trial does not automatically become a paid subscription unless you affirmatively select a paid plan and provide or authorize a payment method. Trial eligibility, duration, and included features may be limited or changed where permitted by law.
Monthly subscription
The filing-validation subscription is $10 per month and includes validation of an unlimited number of filings during an active subscription period. Paid subscriptions renew monthly until canceled.
Optional filing preparation
Optional clerk filing preparation is charged at $3 per filing. This fee covers Agent eFile's assistance preparing information for the clerk-filing workflow. You remain responsible for reviewing and approving the completed filing and making the final Submit action.
Other fees, taxes, and cancellation
Court fees, EFSP fees, service fees charged by third parties, and applicable taxes are separate from Agent eFile fees. You authorize Agent eFile and its payment processor to charge the payment method associated with your account for subscriptions and optional services you approve.
You may cancel before your next renewal date to avoid the next monthly charge. Unless required by law, fees already paid are nonrefundable and are not prorated for a partially used subscription period. Pricing may change with advance notice before the change applies to your next billing period.
6. Your Filing Responsibilities
You, not Agent eFile, are solely responsible for every filing and its legal and procedural consequences. Before submission, you must independently review and verify:
- the court, jurisdiction, case number, parties, filing type, filing code, and service contacts;
- all pleadings, documents, exhibits, signatures, dates, redactions, and confidentiality designations;
- filing fees, payment amounts, deadlines, service requirements, and filing instructions;
- the accuracy and completeness of all Customer Materials and Outputs; and
- compliance with applicable law, court rules, standing orders, and professional obligations.
Agent eFile does not apply your electronic signature, certify a filing on your behalf, practice law, or make legal decisions. The Service will present the prepared filing for your review. You must approve the filing and personally make the final Submit action through the applicable EFSP or court-filing system.
You are responsible for monitoring filing status, confirming acceptance, addressing rejection notices, preserving receipts and confirmations, and maintaining an alternate method for urgent or time-sensitive filings.
Agent eFile does not guarantee that a court, clerk, agency, or EFSP will accept or process a filing, or that a filing will be completed by a particular deadline.
7. No Legal Advice, Representation, or Affiliation
Agent eFile is a technology service, not a law firm, and is not engaged in the practice of law. The Service and Outputs do not provide legal advice, legal representation, or professional judgment and are not a substitute for review by a qualified attorney.
Use of the Service does not create an attorney-client, fiduciary, or other professional relationship with Agent eFile. Agent eFile is not a court, clerk, or EFSP. Unless expressly stated in writing, Agent eFile is not affiliated with, endorsed by, or acting on behalf of any Texas court, clerk, eFileTexas, EFSP, or technology provider.
8. Customer Materials, Outputs, Confidentiality, and Data
You retain all ownership rights in Customer Materials. You grant Agent eFile and its service providers a limited, nonexclusive right to host, copy, transmit, analyze, transform, and otherwise process Customer Materials solely as reasonably necessary to provide, secure, support, maintain, and improve the Service.
As between you and Agent eFile, and to the extent permitted by law, you own Outputs generated specifically from your Customer Materials. If any ownership interest in those Outputs does not automatically vest in you, Agent eFile assigns that interest to you. Agent eFile retains ownership of the Service, its software, models, workflows, templates, rules, documentation, and underlying technology.
Agent eFile will not use Customer Materials to train shared or general-purpose AI models without your explicit consent. Agent eFile may use deidentified or aggregated operational data that does not identify you, your clients, or a specific matter to analyze performance, security, and product usage.
You are responsible for determining whether the Service is appropriate for privileged, confidential, sealed, sensitive, or regulated information. You must apply required redactions and confidentiality designations and must not upload information you are prohibited from transmitting or processing.
Agent eFile will handle Customer Materials in accordance with its Privacy Policy and published Security & Confidentiality information. No method of transmission or storage is completely secure.
9. Acceptable Use
You may not use the Service to:
- violate law, court rules, professional obligations, or another person's rights;
- prepare or submit fraudulent, misleading, malicious, frivolous, or unauthorized filings;
- upload malware or attempt to compromise the Service or a third-party system;
- circumvent access controls, usage limits, authorization requirements, or security protections;
- harvest data, probe vulnerabilities, or interfere with another user's access;
- reverse engineer, scrape, resell, sublicense, or commercially exploit the Service except as permitted by law or a written agreement;
- use the Service or Outputs to build or train a competing product or AI model; or
- use the Service in a manner that disrupts its operation or imposes an unreasonable load.
10. Third-Party Services
The Service may interact with courts, clerks, eFileTexas, EFSPs, payment processors, identity providers, and other third-party services. Those services are independent of Agent eFile and are governed by their own terms, privacy practices, availability, fees, and technical requirements.
Agent eFile is not responsible for third-party outages, changes, errors, rejections, delays, fees, security practices, or acts and omissions. You remain responsible for complying with third-party terms, maintaining required third-party accounts, and confirming all activity performed through those accounts.
11. Agent eFile Intellectual Property
Agent eFile and its licensors own the Service, website, software, models, rules, workflows, templates, branding, documentation, and related intellectual property, excluding Customer Materials and customer-owned Outputs. Subject to these Terms, Agent eFile grants you a limited, nonexclusive, nontransferable, nonsublicensable, revocable right to use the Service for your internal professional or business purposes.
If you provide feedback, suggestions, or ideas, you grant Agent eFile permission to use them without restriction or compensation, provided that doing so does not identify you or disclose your confidential information.
12. Availability and Changes to the Service
Agent eFile may update, modify, suspend, or discontinue features, supported courts, and filing workflows at any time. Maintenance, technical issues, court or EFSP changes, third-party outages, or events outside Agent eFile's control may make the Service temporarily unavailable or cause a previously supported workflow to stop working.
You are responsible for maintaining independent procedures for deadlines and urgent filings. The Service must not be your only means of preparing, reviewing, submitting, or confirming a time-sensitive filing.
13. Disclaimers
To the maximum extent permitted by law, the Service and Outputs are provided "as is" and "as available." Agent eFile disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and error-free operation.
Automated and AI-assisted results may be incomplete, inaccurate, outdated, or unsuitable for a particular filing. Outputs are informational aids and do not constitute statements of Texas law or court requirements. A "Ready" result does not guarantee completeness, legal sufficiency, compliance, acceptance, or any particular outcome.
14. Limitation of Liability
To the maximum extent permitted by law, Agent eFile and its members, owners, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, clients, matters, or filing rights.
Agent eFile is not liable for missed deadlines, rejected filings, sanctions, adverse rulings, inaccurate or incomplete Customer Materials or Outputs, customer failure to review a filing, customer disclosure errors, or failures of courts, clerks, EFSPs, networks, devices, or other third parties.
To the maximum extent permitted by law, Agent eFile's total aggregate liability arising from or relating to the Service or these Terms will not exceed the fees you paid to Agent eFile during the three months immediately preceding the event giving rise to the claim.
The exclusions and limitations in this section apply regardless of the legal theory and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.
15. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Agent eFile and its members, owners, officers, employees, contractors, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your filings, Customer Materials, use or misuse of Outputs, violation of these Terms, violation of law or court rules, professional conduct, or infringement of another person's rights.
16. Suspension and Termination
You may stop using the Service and cancel your subscription at any time. Agent eFile may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay applicable fees, misuse the Service, or if continued operation is no longer commercially or technically feasible.
Upon termination, your right to use the Service ends, but accrued payment obligations remain due. Provisions that by their nature should survive termination will survive, including ownership, confidentiality, disclaimers, limitations of liability, indemnification, and dispute provisions.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute not resolved informally will be brought exclusively in a state or federal court of competent jurisdiction in Montgomery County, Texas, and each party consents to personal jurisdiction and venue in those courts.
Before filing a claim, each party agrees to provide written notice describing the dispute and to make a good-faith effort to resolve it informally for at least 30 days. Agent eFile may seek injunctive or equitable relief to prevent unauthorized access, misuse, or infringement of the Service.
18. Changes to These Terms
Agent eFile may revise these Terms from time to time. Material changes will be communicated by posting updated Terms, changing the "Last updated" date, or providing another reasonable notice. Changes apply prospectively unless otherwise stated or required by law.
Your continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms. If you do not agree to a revision, you must stop using the Service and cancel your subscription.
